Awww Charlotte....daddy still doesn't like you, must hurt. David knows something, he spent about 15 seconds looking at wedding pictures of "daughter" who died. I wish Emily would just tell him right now, I hate the suspense. I also think the tattoo of the driver is going to play a role in telling us who the driver is and who he was working for.

Commercials That Annoy, Irritate or Outright Enrage
RealityGal replied to Maverick's topic in Commercials
Well, thats 3 minutes and 16 seconds of my life I'm not going to get back. But seriously, was it really necessary to have the "5" earrings and necklace? -
If the series had happened in a vacuum I wouldn't have been surprised by his death. But most of the deaths of historical figures have been accurate. Massaria and Maranzano died the same way they did in history. Al Capone goes down for tax evasion. Lucky really has a droopy eye (I think from a beating he took). I had just thought that they would end up having Nucky go to jail for tax evasion, but I'm not complaining, I just think they really surprised me in an interesting way because all of the other character deaths (if they were historical figures) were pretty accurate, Nucky's was the only one I can remember that wasn't He said something about how his grandmother talked about Nucky all the time, and he couldn't tell if she loved or hated him. Maybe he took on this job with Nucky to see if he was a man that he should love or a man he should hate. Nucky pushed him away even when he had done nothing wrong. Even if Nucky pushed him away just because he reminded him of himself Tommy wouldn't have known that, he would only know that he had been cast off for some unknown reason. And then when he is crying out for help, Nucky doesn't offer anything besides money. I mean, its hard to fault Nucky for any of that because he had no idea it was Tommy and he had gone out of his way to be helpful in that he gave him $2000, and then $100. $2100 is a lot of money right now, and I can only imagine how much it was back in those days. But, I think to Tommy all he saw was a man that pushes people aside and tries to fix everything with money and decided that Nucky was not a person that deserved love. It would make sense that Lansky ended up with Nucky's Cuba holdings. I know historically Lansky lost a lot of money when Castro took over Cuba, because he had a lot of money tied up in the casinos down there.

Wow.....the end of a series.... 1. Narcisse died! - Hooray! It was all I asked from the series finale, so as soon as that happened I was at least 80% happy with the ending. I wish it could have been a little more painful, but I love that he got killed while spouting off his usual nonsensical condescending paternalistic ramblings. "I always like to think of Ecclesiastics in time such as these....blah blah blah blah blah........" boom! 2. Gillian - I'm glad they didn't get entirely too gory in showing her night with the commodore (and why was he called that, was he in the navy, an early member of the Lionel Richie group?). But it was still just so heartbreaking, she was so trusting, so innocent. She should have run, but for the first time she decided to trust. And then whatever they did to her in that sanatorium, it really made me feel less sorry for Nucky. 3. Tommy - I guess she was somehow communicating with him while she was in the home. When he tore up the $100 bill, and pretty much indicated that he gave away the $2000 it seemed really strange. 4. Capone - I'm again impressed with the historical details, they even had him cover up his scar with makeup which he did in real life. The conversation between him and his son had me all sorts of verklempt. I know he is a crazy SOB, but that was such a sweet conversation between the two of them. It reminded me of the time when his son was so young and he just scared the little boy to tears....and then he felt so bad he just hugged him. It was just so sweet. 5. Margaret - for the first time in a long time she didn't annoy me. She isn't my favorite character, but she impressed me in shorting the Mayflower stock.

Oh man, I was fine, but then you had to go and mention the smell......blerf.

That is an excellent point/question. I had assumed that maybe the Wayne's had some limited knowledge that there was some bad stuff going on, but its interesting to think that they may have had a relationship with Falcone to the point of feeling protected by him, and then were shocked to find out that they weren't. Things that make you go hmmmmmmmm

I've gotten the impression that Alfred has access to the information about who the board members are. They have spoken about the board in very broad terms, as if they know who they are, they just aren't sure who did what...if anything. They both seemed to think the BOD would be at the fundraiser, which is a reasonable assumption. Contact details would be a little rough, a lot of times members of the BOD may have multiple jobs, or even multiple directorships, so knowing how to pin a director down might be hard. An officer would be easier since they would have a job at Wayne Enterprises. But a BOD may actually be a CEO of another company, or may have their own law firm, or work in another law firm. And that other job may be one that makes them near impossible to contact. For example, maybe I sit on the BOD for Hewlett Packard, but I'm CEO of Intel, and on top of that, I also sit on the BOD for a few non-profit organizations, how in the world can you ever hope to pin me down, I probably don't answer my own cell phone, and I can be in any office around the world. And even if you had a lawyer contact me with a question, that would be rough, because I would probably tell you that for the day to day operations of the business you need to talk to the officer in charge of the department. Although, you could certainly ask a board member questions like why they advocated for issuing more stock, and why they might have advocated giving it to a certain entity, but at this point I think the entire thing should be such a gordian knot, that it would require multiple conversations with multiple directors. Or at least it should... I'm not as smart as the Wayne, but even I would think a shortcut through a dark alley wouldn't be a good idea if dangerous people were out to get me. Hell, a shortcut through a dark alley at night is probably going to appeal to me even if I'm just wearing nice jewelry, or even if I'm carrying a purse. Even at the time Gotham sounds like the sort of place that had a seedy element to it, so I might have just gone the long way around. I get the idea that there was a very faint patina of corruption around the Wayne's. Maybe they weren't personally involved in anything corrupt, but they knew that they would have to put up with a certain level of dirt so that they could get the result they wanted. The ends justify the means sort of thing. Perhaps at some point they let a little molehill of dirt or corruption into their company and without even them even knowing it it turned into a mountain of corruption. I just get the impression the Wayne's weren't quite the saints that Bruce thinks they are, and if thats the case it will be interesting to see how that impacts Bruce.

LOL.....its okay, I suspected it would have been bigger news if he had returned. As they say, it is better to have loved and lost, than to have never loved at all. It was better to at least have my hopes for two minutes than to have never had them at all :)

Commercials That Annoy, Irritate or Outright Enrage
RealityGal replied to Maverick's topic in Commercials
I watched an entire 14 seconds of this commercial. Honestly, commercials like this never convince me to buy anything. I'm not going to be in any of those situations, I'm not living life on the edge, I'm not putting my phone into a fish tank to be cute. Show me the phone that I can find when I've put it on silent, but somehow left it in my sock drawer. I want that phone. I don't need a phone for zooming backwards in a go-cart, show me a phone with a good microphone and speaker so when i'm trying to go hands free people don't sound like the teacher in a Charlie Brown cartoon. -
I've had squid snack, which is surprisingly good (but too high in sodium for me, and you pretty much need to buy floss when you eat it) but I wonder if crab snacks are similar. Boston is an amazing city. Everytime I'm there I stuff myself silly with lobsters and Mike's. Then, I get a box of Mike's for the plane, and shoot dirty, threatening looks to anyone who eyeballs my box of Mike's pastries. One time a guy said "wow, that box looks good" and I may or may not have thought about strangling him with the twine they tie around the box. But I digress.....Boston is a lovely city, strange weather, but so much history! And pastries! and walking trails! And everyone has an accent! And there are guys dressed up like the founding fathers for work!

as was Sandaya's. The person whose post I was responding to (can't remember if it was yours) said that Char was the one who had wanted the yellow, and thats true, but she wanted the buttery yellow and they ended up using Sandaya's super bright yellow. I think its unreasonable to place the color fail solely at Char's feet, because Char wanted another hue, and Sandaya ended up picking the particular yellow that they used. Char made a weird handkerchief dress and Sandaya made a corn cob dress. Both were hideous. he is!?!?!?!????? hooray!!!! ETA: I thought you were talking about MK. I like Isaac, but I miss MK.

I think this is probably the most likely thing. I think Alfred is more concerned with Bruce's well being and that's his priority. The boards job is to run the show, and so, even at some point if Bruce gets on the board (and this will not be at 12), I think it could shape him turning into Batman, because he will eventually realize, that even with a seat on the Board he is only one member of the board, and the board decisions are majority decisions and if the rest of the board is slimy. And then he will figure out that even with a seat on the board of Wayne Enterprises, he doesn't have a seat on the board of the other subsidiary companies, so one board seat is even less impactful.
-
I actually don't think its that odd for Alfred not to know the particulars. It sounds like Alfred knows that there is a BOD at Wayne Enterprise, but I wouldn't know if Bruce gets an automatic seat on the BOD. While a large shareholder, like the Waynes would normally have a seat on the board, its not automatic, and the board may have appointed someone in the interim. The shareholders would vote for the replacement board member, and unless they want to vote for Alfred or a 12 year old, it seems unlikely Bruce would have a position on the BOD. As a controlling shareholder, or someone who holds a large amount of stock, or has to vote a large amount of stock, you will vote on very few things. And most of them are going to be very broad, since the officers are the ones who truly run the day to day operation. You'll vote on board appointments, issuance of new stock, mergers, and things along those lines. In the event of a shareholder vote, there is generally a requirement that voting materials clearly explain the issues to be voted on. Especially with a big company, because most companies of that size are publicly traded, the SEC mandates that the materials have to be plain, clear and easy to understand. Anything other than that can be seen as fraud, or acting in bad faith. They basically want that guy who threw darts at a newspaper to pick his stocks to be able to understand what is being voted on. So, if that's the case, any voting materials should be easy enough to understand. But even with a privately traded company with the behemouth size of Wayne Enterprises is going to be of interest to the financial media, because a company of that size has the power to have an impact on the entire economy. For that reason, anytime something big enough for a shareholder vote comes up, it would have been written about extensively, in easy to read language for the everyday viewer. If the Wayne's didn't know they were in danger, they probably didn't make it a big point to school Alfred on all of these things, and no one really knows when that will was drawn up, was it when the Wayne's first had the company, and it was one big company, where it would have been a much easier corporate structure to understand? Did they draw up that will when they everything was going swimmingly, and they had no idea trouble was brewing?
-
Even if Wayne is publicly held, they may not issue voting stock to the public. I believe Facebook has a very similar makeup. The founder (Zuckerberg) holds most of the voting shares. I would assume Alfred would vote Bruce's shares, I'm not sure how it would work any other way.

Because a subsidiary is an entirely separate company, if the parent directs too many actions, they can become liable for the subsidiaries actions/or lack thereof through piercing of the corporate veil. Following corporate formalities is important to not piercing the corporate veil, so even if someone went directly to the Wayne, they may be able to take action as controlling shareholders in the subsidiary corporation, but the board of directors for WellZyn has the responsibility of running the day to day operations of the company. Ostensibly, they have a duty to do what is best for WellZyn, not what is best for Wayne Enterprises (fiduciary duty) so if producing and working on Viper, and Viper like products is what makes sense for WellZyn's bottom line then....as the subsidiary, thats what they should be doing. And thats actually where whether or not its a publicly traded company will have an impact. If its owned by a few shareholders, than the fiduciary duty for the Board to do whats best for the company can be seen in the light of what those few shareholders (the Wayne's) think is best (which would be to just stop all production of everything), but if the company is public, and the subsidiary is subject to being owned by other shareholders that are only interested in the bottom line, for them, it may not make sense to stop production of things like Viper. Just pay off the few drug addicts that died, and move on. Maybe its an early Two-Face? I also wonder how the actions of Well-Zyn may play with the Joker. Again, I only watched the movies, but I remember in the first Batman, Joker was using some chemical to kill people, he put it in regular household products, and it would make people die with a creepy smile. Sounds very WellZyn-esque
-
A subsidiary would be a separate corporation with its own Board of Directors, its own managing officers, but owned by the parent corporation. As its own corporation it would have its own assets and liabilities, and would be liable for its own actions. Often a parent company will appoint the board of directors for the subsidiary company, and that board of directors will run the subsidiary business. Its a great way for the parent company to escape liability, if WellZyn was just a division of Wayne, Wayne would be responsible for its liabilities. As a subsidiary corporation, or LLC anything WellZyn, or any other subsidiary of Wayne did would likely not be a liability for Wayne enterprises. I don't think it would be smart to run a giant business any other way, because with a subsidiary, the parent often gets the control through appointing the board of directors, but eschews liability.

dreams = dashed :( But maybe there is a monkey doing something under there, or a rabbit. Maybe they make him put the ukulele playing monkey in its cage when he does his TH's
-
I miss him too, someone posted a video of his top comments and it was so damn funny. I know his official reason for leaving the show was that he had to focus on his own collection, but I wonder if he didn't see this ship sinking and decided to jump ship

both, please!

And before Fade, there were the Choose Life tee shirts of the 80's. And if having words on clothing is ripping from Fade, then Sandaya has been stealing from Fade too, because much of her collection had a lot of words on clothes too. And Char wanted a different hue of yellow, Sandaya wanted that particular bright tone of yellow, Char wanted something that was more of a buttery yellow.

I think every one of the designers in the final 4 has been accused of ripping on someone else, or referencing another designers designs. Unless it was on the level of a Sandaya onesie. I take that critque with a grain of salt.

Love & Hip Hop: Hollywood - General Discussion

I suggest a class action suit on behalf of the emotional distress all viewers are suffering from having to look at this horrible plastic surgery. -
I agree. I understand not wanting to commit to making an exact dessert, but she should have been able to come up with something to say. I do think Aaron was trying to get her to commit to something so he could blame her later if something failed. I mean, as the last course it would make sense for them to get a dessert basket, and I think he was trying to find a way to put her in charge of dessert so that if they got dessert and it failed she would be the one going to slaughter. However, if she has advertised having gone to pastry school, she is already going to be expected to take charge if they get a dessert basket, so no matter what if they had to do dessert and it failed both members of her team would be able to say "but we relied on her expertise because she went to pastry school!" Beyond that, I don't think speculation should have been that big of a deal, because it was something she should have been thinking about. I don't think there would have been any harm in just saying "well, if we get a basket with x, y, and z (don't let Aaron choose the hypothetical ingredients, because he will skew towards molecular gastronomy) I think we could make this, because I made this in school and it was delicious!" and then stop talking after that, because x,y, and z ingredients are basic dessert ingredients and nothing else Aaron tries to bait you into a conversation with would ever be found in a typical basket.

Its almost as useless as finding one person after the show to say that each contestant should win.....what the hell does that do for me?
